Confidentiality Obligations. Confidential Information shared by, between or among the Participating Members or the Facilitator hereunder will be safeguarded by the recipient with the same protection as such recipient uses to safeguard its own Confidential Information (which will in no event be less than a reasonable standard of care), and will not be disclosed to third parties or used for any purpose other than as set forth in this Master Supply Agreement or agreed upon in writing by the parties without the written consent of the disclosing party, and will be made available only to the receiving party's employees, contractors, or other agents who have a legal obligation to the receiving party not to disclose such information to third parties and who have a need to know such information for purposes of performing the receiving party’s obligations or exercising the receiving party’s rights under this Agreement.
